Item 4.01 | Changes in Registrants Certifying Accountant. |
On August 31, 2015, the Audit Committee of the Board of Directors of Catalyst Biosciences, Inc. (the Company) approved the engagement of EisnerAmper LLP (EisnerAmper) as the Companys principal independent registered public accounting firm, effective as of September 1, 2015. As a result of that engagement, the Company approved the dismissal of Ernst & Young LLP (Ernst & Young) and notified Ernst & Young of its dismissal as the Companys principal independent registered public accounting firm effective as of that date.
The reports of Ernst & Young on the Companys financial statements for each of the two fiscal years ended December 31, 2013 and December 31, 2014, did not contain an adverse opinion or a disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles. There were no disagreements (as that term is defined in Item 304(a)(1)(iv) of Regulation S-K and related instructions) between the Company and Ernst & Young which, if not resolved to the satisfaction of Ernst & Young, would have caused Ernst & Young to make reference to the subject matter of the disagreement in its reports on the Companys financial statements for each of the two fiscal years ended December 31, 2013 and December 31, 2014, and the subsequent interim periods through September 1, 2015, with respect to any matter of accounting principles, financial statement disclosure or auditing scope or procedures. There were no reportable events (as that term is defined in Item 304(a)(1)(v) of Regulation S-K) during the fiscal years ended December 31, 2013 and December 31, 2014, and the subsequent interim periods through September 1, 2015.
During the years ended December 31, 2013 and December 31, 2014, and the subsequent interim period through September 1, 2015, the Company did not, nor did anyone on its behalf, consult with EisnerAmper with respect to (a) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Companys financial statements, and EisnerAmper did not provide written or oral advice to the Company that EisnerAmper concluded was an important factor considered by the Company in reaching a decision as to any accounting, auditing or financial reporting issue; or (b) any matter that was either the subject of a disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions) or a reportable event (as described in Item 304(a)(1)(v) of Regulation S-K).
The Company provided Ernst & Young with a copy of the disclosures the Company is making in this Current Report on Form 8-K and requested that Ernst & Young furnish the Company with a letter addressed to the U.S. Securities and Exchange Commission stating whether it agrees with the statements regarding Ernst & Young contained herein. A copy of Ernst & Youngs letter, dated September 4, 2015, is filed as Exhibit 16.1 this Current Report on Form 8-K.
The Company requested that EisnerAmper review the disclosures the Company is making in this Current Report on Form 8-K regarding EisnerAmper before this Current Report on Form 8-K was filed with the Commission.
